Jarosław Jatczak – legal advisor, managing partner

Specialist in the field of mergers and acquisitions, as well as administrative and commercial law.

Graduate of law at the Faculty of Law and Administration at Adam Mickiewicz University in Poznań. Since 1996,
he has been a legal advisor at the District Chamber of Legal Advisors in Poznań. Since 2004, he has been a partner of Jatczak i Wspólnicy Legal Office Sp.k. Before founding the Legal Office, he worked as, among others: a head of the Poznań Office of Domański Zakrzewski Palinka Law Firm; a partner at W. Bielak J. Jatczak i Partnerzy Wielkopolska Law Group Sp.k. in Poznań; a legal advisor at W. Frąckowiak i Partnerzy Wielkopolska Consulting Group Sp. z o.o. in Poznań (at present F5 Consulting Sp.z o.o.) and a legal and tax advisor at Ernst & Young Sp. z o.o.

His professional experience includes, among others:

• legal counseling for local government authorities during several privatization processes of companies from the heating sector in the North and West Poland and in the privatization processes of state-owned companies from Wielkopolska region;
• representation of the investor (State Treasury) in the litigation concerning the construction of a terminal on a western border;
• long-standing legal counseling to the Polish largest manufacturer of municipal low-floor buses, coaches, special vehicles and trolleybuses;
• advisory during management buy-out transaction (considered by Forbes magazine the best Polish MBO transaction in 2005) funded with the means of mezzanine financing combined with the acquisition of comprehensive operating financing;
• cooperation with investment funds, brokerage houses and investment consulting companies which specialize in financial consulting in the scope of preparing and executing capital market transactions,
  both on the public and private market;
• participation in preparation of comprehensive company financing projects, including credit syndication projects.

Jarosław Jatczak has provided his advisory to one of the largest companies from the power industry in Poland and Polish companies being the members of global concerns of food processing, construction and power industry, as well as leaders of the automotive and textile industry.

He was also in charge of numerous projects in the scope of legal due diligence, including public offering of securities both at home and abroad. The managing partner was also an attorney in many judicial proceedings
before courts of general jurisdiction, the Supreme Court and administrative courts.
